Our specialty
Governance and compliance software
Governance and compliance are our specialty, and they draw on the accounting, tax, and legal experience of our founding team. We build software that keeps a company's records, approvals, and obligations in order, and that produces the evidence when a board, an auditor, or a regulator asks for it.

Corporate governance
We build software for the records and decisions that the law and good practice require of a company and its board.
Statutory registers
Registers of members, directors, and significant controllers kept current, with the filings that follow a change tracked to completion.
Board and committee work
Board papers, resolutions, minutes, and action lists in one place, with circulation and sign-off recorded.
Delegations and approvals
Delegations of authority applied by the software, with each approval limited to people entitled to make it.
Conflicts and declarations
Registers of interests and conflicts, with periodic declarations requested, recorded, and followed up.
Entity management
Group structures, officeholders, and the annual obligations of each entity, across Hong Kong, Australia, and other jurisdictions.
Policies and attestations
Policies issued, acknowledged, and reviewed on a schedule, with a record of who has read which version.
Regulatory compliance
We build software that maps a business's obligations to the people and controls responsible for them, and keeps the evidence that each obligation was met.
Obligations registers
The obligations that apply to a business, each linked to its source, its owner, its controls, and its evidence.
Compliance calendars
Deadlines across entities and jurisdictions in one calendar, with reminders and escalation before anything falls due.
Anti-money laundering
Customer due diligence, risk assessment, and record keeping, including for the lawyers, accountants, and other professions that took on obligations in Australia from 1 July 2026.
Privacy
Records of the personal data a business holds, the requests it receives, and the incidents it manages, under the privacy laws of Hong Kong and Australia.
Incidents and breaches
Incidents, breaches, and complaints logged, assessed, and closed, with any notification the law requires tracked to completion.
Risk and controls
Risk registers linked to the controls that address each risk, with control testing scheduled and its results recorded.
Tax and accounting governance and automation
Tax and accounting are the core of our founding team's experience. We build software that gives boards oversight of tax risk and takes routine work off finance teams.
Tax governance
Board reporting on tax risk and a documented control framework, of the kind the Australian Taxation Office examines in its reviews of tax governance.
Lodgments and payments
Returns, statements, and payments across entities and jurisdictions tracked from preparation to lodgment, with the evidence kept.
Reconciliations and close
Bank, ledger, and tax account reconciliations automated, with exceptions sent for review and each sign-off recorded.
Private group obligations
Division 7A loan repayments, trust distribution resolutions, and other year-end obligations of private groups tracked against their deadlines.
Financial statement checks
Financial statements checked against the applicable accounting standards, with their figures traced to the trial balance and source records. This capability is in development.
Rates and thresholds
Tax rates, thresholds, and indexation held as dated records, with each calculation using the figures in force for its period.
Built for Hong Kong and Australia first
Governance software depends on applying the rules of each jurisdiction correctly. We build first for the two jurisdictions our team knows best, and we configure for others as clients need them.
Companies and directors
Registers, filings, and board records are designed around the company law of each jurisdiction, including the annual return in Hong Kong and the director identification number in Australia.
Anti-money laundering
From 1 July 2026, lawyers, accountants, and trust and company service providers in Australia carry anti-money laundering obligations for the services that attract them. Hong Kong regulates the same professions under its own regime.
Privacy
Records of personal data, access requests, and breaches are kept in the form each privacy regime expects, including for the notifiable data breaches scheme in Australia.
Our role
Our software supports the people responsible for governance and compliance, and it does not replace them or their advisers.
ZCM does not provide legal, tax, accounting, or financial advice, company secretarial services, or audit or assurance services. Responsibility for compliance remains with each business and its directors, and our role is to make the work visible and evidenced.
